InterGen Activate: Decoding the Deal - A Guide to Cap Tables, Equity Incentives and Term Sheets for Scale-Ups

InterGen and Osler are partnering to offer an intensive two-day workshop designed for angel investors and scale-up entrepreneurs who are interested in gaining a deeper understanding of the key documents, terms, equity incentives and cap tables scenarios when raising Late Seed and Series A capital. These workshops will provide practical insights and learnings to help participants understand the critical moving parts of papering and closing a venture financing deal.

Day one: Mastering Cap Tables   

The first day will focus on understanding the relevance of cap tables in venture financing, how to build cap tables and how they evolve as the company scales up. 

Agenda: 

  • Discussing the relevance of cap tables at the organizational stage (i.e incorporation) and as the company continues to raise capital. Walking through examples at the incorporation stage through Pre-Seed, Seed and Series A stages
  • Discussing the difference between Simple Agreements for Future Equity (SAFEs), convertible notes and equity, as fundraising tools at the early stage and beyond
  • Discussing the conversation of SAFEs and convertible notes into equity as part of a Seed financing 
  • Discussing Equity Incentive Plans and accounting for these in cap tables

Day two: Understanding Venture Financing Term Sheets  

The second day will cover the anatomy of  a typical venture financing term sheet and understanding the key provisions of venture term sheets. 

Agenda: 

  • Walk through a typical form of term sheet for a Seed financing round
  • Highlight where various terms exist in the CVCA model agreements
  • Tie considerations on the prior cap table session to the term sheet 

This will be an interactive session and questions are highly encouraged! Presentations will be followed by Q&A and networking opportunities. Food and drinks will be provided.
